Tenerife Premium Card · Commercial Partner Agreement

Gastronomy
1. Purpose: The business undertakes to offer a discount to Tenerife Premium Card holders for the entire duration of the contract.
2. Duration and renewal: This contract is valid for 12 months from the date of signing. Renewal involves automatic charging of the annual fee to the registered payment method, unless cancelled by email to info@tpcard.es with at least 30 days' notice.
3. Discount: The discount percentage offered to customers will be as stated in the commercial conditions above. The business undertakes to apply it consistently. At the same venue the discount applies at most once per day.
4. Visibility: The business will appear on tpcard.es, in the app and in Tenerife Premium Card promotional material with name, description, location and discount percentage.
5. Verification system: Discount validation is performed by scanning the customer's QR code. The business will have access to the partner panel to record transactions.
6. Commission: The agreed discount (10–40%) goes entirely to the customer on the bill. TPCard applies an additional 10% platform fee on the full amount before discount, invoiced monthly and separate from the discount. Example: 30% customer discount + 10% fee = 40% total on the bill (maximum 50% cap with a 40% discount). Silver, Gold and Premium plans require an annual visibility fee (€125, €250, €390) via online payment, separate from the customer discount.
7. Placement and priority: Network entry is free (Free plan) and includes standard visibility in its category. Partners on paid plans (Silver, Gold, Premium) receive increasing priority on map, search and Trip Planner, plus greater visibility and content. Placement can be upgraded at any time by moving to a higher plan.
8. Late payment and suspension: Failure to pay the annual fee within 7 days of the due date results in suspension of placement and partner benefits (including referral code deactivation) until regularisation. Reactivation is automatic upon payment.
9. Data protection: Both parties undertake to comply with applicable data protection law (GDPR). Data collected will be used exclusively to manage the agreement.
10. Quality protocol: The business undertakes to comply with the Tenerife Premium Card VIP Quality Patrol protocol, including: scanning the customer QR before applying the discount, keeping TPCard material visible, applying the discount consistently at all times and providing professional VIP treatment. Repeated non-compliance may result in suspension of the agreement.
11. Cancellation: Either party may terminate the contract with 30 days' written notice to info@tpcard.es.
12. Governing law: This agreement is governed by Spanish law. For any dispute, the parties submit to the courts of Santa Cruz de Tenerife.
13. Art. FOUNDER KIT (Silver / Gold / Premium plan bonus): 1. This article applies only to Silver, Gold or Premium partners. The Free plan does not include a FOUNDER KIT.
13.1 FOUNDER KIT: 2. Upon paid plan activation, TPCard assigns a named batch of 7 (seven) day digital cards: 50 (Silver), 100 (Gold) or 150 (Premium).
13.2 FOUNDER KIT: 3. The batch is free (commercial bonus). The partner has 2 (two) months (Silver), 4 (four) months (Gold) or 6 (six) months (Premium) from delivery to sell them to customers, in compliance with the Partner Protocol and applicable law.
13.3 FOUNDER KIT: 4. List price: each card has a list price of €25.00, IGIC included. TPCard's 30% and the partner's 70% are calculated on the net base after deducting IGIC and payment fees (Stripe) from the list amount, per TPCard's official economics (current partner net: €15.92 per card). The calculation does not use a different sale price set by the partner.
13.4 FOUNDER KIT: 5. No stacked referral commission: FOUNDER KIT cards pay only the partner share (70% of net). Standard referral commission does not add on top.
13.5 FOUNDER KIT: 6. Expiry: sale and activation within the plan window (2 / 4 / 6 months from batch delivery); unused codes expire with no refund.
13.6 FOUNDER KIT: 7. Bulk transfer of the batch is prohibited; cards remain named to the partner's batch.
13.7 FOUNDER KIT: 8. TPCard handles IGIC, Stripe and platform tax obligations for the circuit; the partner does not file TPCard tax forms for batch activations and receives the agreed net.
13.8 FOUNDER KIT: 9. TPCard may revoke unactivated codes for breach, fraud or misuse.
13.9 FOUNDER KIT: 10. The FOUNDER KIT does not change the annual fee, visibility, 10–40% discount or main contract obligations.
